Welcome to EarlyVentures, a platform operated by NFTIZ Holding Ltd ("EarlyVentures", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms, as well as any additional guidelines, policies, or rules that may be posted on the website or communicated to you from time to time. If you do not agree to these Terms, you must not access or use the Services.

What

We and our designated affiliates provide a DeFi platform offering two types of services:

Where Startup Founder (as defined in the Investing Platform Service Terms) can launch their startup and raise capital.

Investors (as defined in the Investing Platform Service Terms) can invest in startups and funds (the “Investing Platform Service”).

The sections that follow in these Terms provide important information about the use of the Services, including eligibility requirements, KYB and KYC procedures, liability limitations, and the use of smart contracts. Eligibility

a. To be eligible to use the EarlyVentures platform and its services, users must:

  • Be at least 18 years of age or the legal age of majority in their jurisdiction, whichever is higher.
  • Not be a resident of a restricted country as outlined in Section 4.
  • Have the legal capacity to enter into a binding contract under the laws of their jurisdiction.
  • Not be subject to any trade, economic, or financial sanctions by any competent authority.

b. EarlyVentures reserves the right to request proof of eligibility from users at any time. Failure to provide satisfactory proof may result in the suspension or termination of the user's account and access to the platform.

Know Your Business (KYB) Procedures

a. EarlyVentures shall conduct thorough due diligence on startups that seek to raise funds through its platform. This due diligence process may include, but is not limited to, verification of the startup's company registration, examination of the business model and market opportunity, analysis of the technology being developed, and assessment of the team members' background and experience.

b. Startups shall provide all requested information and documentation to EarlyVentures as part of the due diligence process. Failure to do so may result in the startup's application being rejected.

c. EarlyVentures reserves the right to reject any startup at its sole discretion if it determines that the startup does not meet the platform's requirements or poses significant risks to investors.

Know Your Customer (KYC) Procedures

a. Users of the EarlyVentures platform must undergo a Know Your Customer (KYC) process to verify their identity and to comply with anti-money laundering (AML) and combating the financing of terrorism (CFT) regulations. See AML Policy

b. Users shall provide accurate and complete information during the KYC process, including, but not limited to, their full name, date of birth, residential address, and a copy of a government-issued identification document.

c. EarlyVentures reserves the right to request additional information or documentation from users to verify their identity or to comply with applicable regulations.

d. Users who fail to complete the KYC process or provide inaccurate or incomplete information may be denied access to the platform or have their accounts suspended or terminated.

Liability

a. EarlyVentures acts as an intermediary facilitating transactions between startups and investors. It does not take custody of the funds in the transaction.

b. Users acknowledge that investing in startups carries inherent risks, including the risk of loss of the invested capital. EarlyVentures does not guarantee the performance of the startups or the value of the tokens purchased through its platform.

c. Users are responsible for conducting their own due diligence and assessing the risks associated with investing in the startups listed on the EarlyVentures platform. EarlyVentures provides information and opinions about the startups but does not provide investment advice.

d. EarlyVentures shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, loss of data, or other intangible losses, arising out of or in connection with the use of its platform, the investment in startups, or the performance of the tokens.

Restricted Countries

a. EarlyVentures' services are not available to residents of countries where the use of cryptocurrency or participation in Initial Coin Offerings (ICOs) and token sales is prohibited or restricted by local laws and regulations.

b. Users are responsible for ensuring that they are legally allowed to use the EarlyVentures platform and participate in token sales based on their country of residence.

c. EarlyVentures reserves the right to deny access to its platform and services to users from countries where such activities are prohibited or restricted. Users found to be in violation of this section may have their accounts suspended or terminated.

Token Release

a. Token release and distribution to investors will be facilitated through a smart contract. The startup is responsible for sending the agreed-upon tokens to the smart contract once the ICO or token generation event (TGE) has occurred.

b. Token release and distribution to investors may be subject to vesting periods, lock-up periods, or other restrictions as specified in the respective Simple Agreement for Future Tokens (SAFT) or other agreements entered into between the startup and the investors.

c. EarlyVentures is not responsible for the actions or inactions of the startups concerning the release and distribution of tokens. In the event that a startup fails to release or distribute tokens as agreed, the startup will be held liable, not EarlyVentures.

EarlyVentures offers users the opportunity to invest in web3 startups by purchasing tokens at favorable prices in private sales, which are only available after the public sale and are typically vested for a fixed period. Please be aware that the tokens purchased through EarlyVentures may become worthless if the startup fails. While we undertake due diligence on the startups featured on our platform, we do not guarantee their success or assume any liability in the event of their failure.

Risk

a. Users acknowledge and agree that investing in startups and participating in token sales carry inherent risks, including but not limited to the risk of loss of invested capital, lack of liquidity, and fluctuations in token value.

b. Users are responsible for conducting their own due diligence and assessing the risks associated with investing in startups and purchasing tokens through the EarlyVentures platform.

c. EarlyVentures does not guarantee the performance of the startups or the value of the tokens purchased through its platform. Users are solely responsible for the investment decisions they make based on the information provided on the EarlyVentures platform.

d. Users agree to hold EarlyVentures harmless for any losses, damages, or claims arising out of or in connection with their use of the EarlyVentures platform, the investment in startups, or the purchase of tokens.

The investment opportunities offered on our platform carry inherent risks, and we strongly advise our users to exercise sound judgment, care, and caution when making investment decisions. We shall not be liable for any damages, losses, or liabilities arising out of or in connection with your use of EarlyVentures.

Custody

a. EarlyVentures is a non-custodial platform, which means it does not hold or control users' funds or tokens. Users maintain full control and custody of their assets at all times.

b. Users are responsible for the safekeeping of their private keys, passwords, and other credentials required to access their wallets and assets. EarlyVentures is not responsible for any loss or theft of users' assets due to their negligence or mishandling of their credentials.

Communication Preferences

By using the EarlyVentures platform, users agree to receive communications via email and telephone from our support team, which may include but is not limited to information about the investment products, updates on their investment status, and educational materials related to our services. Users can manage their communication preferences or opt out of non-essential communications through their account settings.

Smart Contract

a. EarlyVentures utilizes smart contracts to facilitate investments in startups and the distribution of tokens to investors. By using the EarlyVentures platform, users agree to participate in transactions governed by these smart contracts.

b. Investment data and transactions are publicly available on the blockchain. Users acknowledge and accept the transparent nature of blockchain transactions and the public visibility of their investment information.

c. EarlyVentures is responsible for the security of the smart contract and will ensure that the smart contract undergoes a thorough security audit. However, users are responsible for understanding the functionality and implications of the smart contracts used on the platform. EarlyVentures does not assume any responsibility for users' misunderstanding or misuse of smart contracts.
